# Family Legal Aid Partner Agreement **Version 2026-10-23** This Partner Agreement ("Agreement") is between **Indigo Unlimited**, a Washington nonprofit corporation and 501(c)(3) public charity (EIN 99-3699154), P.O. Box 1275, Twisp, WA 98856 ("Indigo"), and the attorney, limited license legal technician (LLLT), or law practice that signs it in the Family Legal Aid partner portal ("Partner"). It covers Partner's participation in Indigo's Family Legal Cost Assistance program (the "Program"). ## 1. Relationship 1.1 Partner is an independent professional. Nothing in this Agreement creates an employment, partnership, joint venture, agency, or fiduciary relationship between Indigo and Partner. 1.2 Indigo is not a law firm and does not practice law, give legal advice, or direct or control Partner's professional judgment. Partner has no authority to bind Indigo, and Indigo has no authority to bind Partner. 1.3 The attorney-client (or LLLT-client) relationship is solely between Partner and the client. Partner will use its own engagement agreement with each client. ## 2. Referral-only work 2.1 Indigo screens parents for Program eligibility and may refer an eligible parent ("Family") to Partner through the portal. A referral exists only when Indigo assigns it to Partner in the portal and it has a referral code. 2.2 Partner may accept or decline any referral. Partner should complete a conflicts check (Section 6) before accepting. 2.3 There is no general or "available" Program work. Partner will not hold out any work as Program-funded unless Indigo has assigned the referral. 2.4 No referral fees. Neither party pays the other anything for referrals. Referrals are never tied to donations. ## 3. Payment only for assigned, pre-approved services 3.1 Indigo pays only for services Partner provides to a Family under an assigned, active referral that Partner has accepted, within the scope and funding cap shown for that referral in the portal (the "Cap"). 3.2 Indigo does not pay for work done before a referral is assigned, work outside the approved scope, or amounts above the Cap unless Indigo approves in writing in the portal first. 3.3 Partner will charge the reduced partner rates Partner has entered in the portal at the time the referral is accepted. Partner keeps its rates current in the portal, and changes apply only to referrals accepted after the change. 3.4 The Family remains responsible, under Partner's engagement agreement, for any amount Indigo does not pay. Partner will tell the Family in writing what the Program covers and what it does not. 3.5 Program funding depends on available donated funds. Indigo may lower or end funding for future referrals at any time. ## 4. Professional responsibility and insurance 4.1 Partner is solely responsible for its legal services and for complying with the Washington Rules of Professional Conduct (or LLLT Rules of Professional Conduct), APR 28 scope limits for LLLTs, and all other applicable rules. 4.2 Partner will keep its license active and in good standing and will tell Indigo promptly of any suspension, discipline, or change in license status. 4.3 Partner will maintain professional liability (malpractice) insurance in amounts customary for its practice, or comply with any applicable disclosure rule if uninsured, and will provide proof on request. 4.4 Partner will indemnify Indigo for claims arising from Partner's legal services, to the extent allowed by law. ## 5. Confidentiality and minimal data 5.1 Partner will keep Family information confidential under its professional duties. 5.2 The portal is for minimal administrative data only: referral code, client initials, county, matter type, language, status, and general invoice descriptions. Partner will not put case facts, court documents, Social Security numbers, account numbers, health information, or other sensitive details in the portal or in email to Indigo. 5.3 Indigo will handle any information it receives under its Privacy Policy (www.indigounlimited.org/privacy/). 5.4 Partner will keep its portal login secure and will not share it. ## 6. Conflicts checks Before accepting a referral, Partner will run a conflicts check using its own procedures. If Partner has a conflict, it will decline the referral in the portal without giving confidential reasons. ## 7. Invoicing and payment timing 7.1 Partner submits invoices in the portal against the assigned referral, describing services in general terms, with service dates, hours or flat fee, invoice total, and amount requested from the Program (not more than the invoice total or the Cap). 7.2 Indigo reviews each invoice and may approve, ask questions, or decline items outside this Agreement. 7.3 Payment terms: **[TBD by Dominick: payment method and timing, e.g., ACH or check within __ days of approval]**. 7.4 Invoices should be submitted within 60 days after the services are provided. ## 8. W-9 Before receiving any payment, Partner will provide Indigo a completed IRS Form W-9. Indigo may issue Form 1099 as required by law. ## 9. No guarantee of referrals Indigo does not promise any number or type of referrals. Being approved as a partner, or being listed publicly, does not guarantee work. ## 10. Term and termination 10.1 This Agreement starts when Partner signs it in the portal and continues until ended. 10.2 Either party may end this Agreement at any time by written notice, including through the portal. Indigo may suspend portal access immediately if Partner's license status changes or Partner breaches this Agreement. 10.3 After termination, Indigo will pay approved invoices for services already provided under accepted referrals, within the Cap. Partner will cooperate in any transition so Families are not harmed, consistent with Partner's professional duties. 10.4 Sections 1, 4, 5, 8 and 11 survive termination. ## 11. General 11.1 Washington law governs this Agreement. Venue for any dispute is Okanogan County, Washington. 11.2 This Agreement, together with the portal Terms of Use and Privacy Policy, is the entire agreement about the Program. Indigo may update this Agreement by posting a new version; Partner will be asked to accept the new version in the portal before taking new referrals. 11.3 Electronic signature. Partner agrees that checking the agreement box and typing its full name in the portal is its electronic signature, with the same effect as a handwritten signature under Washington's Uniform Electronic Transactions Act (RCW 1.80). Indigo records the name, date and time, IP address, and Agreement version. *Indigo Unlimited · P.O. Box 1275, Twisp, WA 98856 · info@indigounlimited.org · (509) 512-2769*
